Designer Trade Account & Client Responsibility Policy
Designer Net Pricing and trade account privileges are extended solely for legitimate professional design use and are subject to the terms and conditions outlined below. Brendan M. Bass Inc. reserves the right to refuse, modify, suspend, or terminate Designer Net Pricing or trade account privileges at any time if these terms are not being upheld.
Designer Net Pricing is non-transferable and may not be extended to friends, family members, or other third parties for personal purchases unless expressly approved in writing by Brendan M. Bass Inc. Designers may not provide their tax ID, trade account information, or other trade purchasing credentials to individuals who are not their professional design clients. Brendan M. Bass Inc. reserves the right to require any individual purchasing through a Designer account to provide appropriate documentation confirming their professional relationship with the Designer.
The provision of Designer Net Pricing does not create any fiduciary duty, design responsibility, project-management responsibility, or other liability for Brendan M. Bass Inc. regarding the Designer’s client, project, selections, specifications, or execution. Designers assume full responsibility for client communication, design decisions, selections, approvals, specifications, and project management.
Brendan M. Bass Inc. functions as a furniture, lighting, upholstery, and accessories vendor and does not assume responsibility for providing interior design, space planning, project management, or other professional design services on behalf of the Designer. Brendan M. Bass Inc. may provide product information, dimensions, material information, availability, and general product assistance; however, such assistance does not transfer the Designer’s responsibility for the project or its final selections to Brendan M. Bass Inc.
All specifications and approvals required for order placement must be received prior to an order being placed. For custom, special-order, or made-to-order merchandise, Designers are responsible for providing all required specifications, including but not limited to dimensions, quantities, configurations, fabrics, finishes, materials, colors, modifications, and other applicable selections. Brendan M. Bass Inc. is not responsible for delays resulting from incomplete, inaccurate, or late specifications or approvals.
A request to place an order, reserve pricing, or secure promotional terms does not constitute authorization or obligation for Brendan M. Bass Inc. to place an order when required specifications, approvals, or payment remain outstanding.
All discounts, promotions, and special pricing (“Offers”) are valid only for the specific duration and conditions explicitly stated. Payment in full and all specifications required for order placement must be received prior to the expiration of any Offer in order to qualify for discounted pricing.
Failure by a Designer or their client to finalize selections, obtain approvals, or provide required specifications prior to the expiration of an Offer does not obligate Brendan M. Bass Inc. to extend, reinstate, or honor expired pricing. Brendan M. Bass Inc. may, at its discretion, extend an Offer as a courtesy; however, any such extension is not guaranteed and does not establish an obligation to extend future Offers.
All quotes and pricing provided by Brendan M. Bass Inc. are estimates until formally confirmed and may be subject to adjustment based on changes in product pricing, specifications, materials, freight, availability, manufacturer requirements, or other applicable circumstances.
Designers are responsible for communicating all applicable pricing, lead times, limitations, terms, and project requirements to their clients and for obtaining all necessary client approvals prior to submitting selections or specifications to Brendan M. Bass Inc.
Brendan M. Bass Inc. is not responsible for errors, omissions, delays, or additional costs resulting from information, selections, specifications, or approvals provided by the Designer or their client. Once an order or custom specification has been submitted, changes or cancellations may be subject to manufacturer policies, fees, production status, or other restrictions.
The use of a Designer’s trade account or Designer Net Pricing for a friend, family member, or other third party does not transfer the Designer’s responsibilities to Brendan M. Bass Inc. Designers remain responsible for ensuring that individuals purchasing under their account are appropriately represented and managed by the Designer.
Brendan M. Bass Inc. reserves the right to revoke Designer Net Pricing or any trade account privileges if it determines, in its sole discretion, that a Designer is improperly extending trade benefits, providing account or tax information to unauthorized individuals, failing to properly manage client responsibilities, or repeatedly requiring Brendan M. Bass Inc. personnel to perform services outside the scope of their role as a vendor.
By establishing, maintaining, or using a Designer Trade Account, the Designer agrees to be bound by these terms in their entirety.
